Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Afrimart Platform — a marketplace facilitating secure, escrow-protected transactions between buyers ("Buyers") and verified sellers ("Sellers") of African products. Afrimart is operated by Afrimart Digital Platforms Ltd. ("Afrimart", "we," "us," or "our"), a company registered in Nigeria.
By creating an account, browsing products, placing an Order, listing a Product for sale, or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Return & Refund Policy, each incorporated here by reference. If you do not agree, please do not use the Platform.
Acceptance of Terms
These Terms form a binding agreement between you and Afrimart. They apply to all users of the Platform, whether you are Browse as a visitor, registered as a Buyer, or verified as a Seller. Certain features — such as selling on the Platform — may be subject to additional terms, which are incorporated into these Terms by reference where applicable.
Because Afrimart serves Buyers and Sellers across multiple jurisdictions, nothing in these Terms is intended to exclude, limit, or contract out of any mandatory consumer protection or other law that cannot lawfully be excluded in your location. Where a provision of these Terms would otherwise conflict with such mandatory law, that provision applies only to the extent permitted, and the mandatory law prevails.
Eligibility & Accounts
To use the Platform, you must be able to form a legally binding contract in your jurisdiction. Our Platform is not intended for children under 18, consistent with our Privacy Policy.
- You must provide accurate, current and complete information when registering, and keep your account details up to date.
- You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
- You must notify us promptly of any unauthorised use of your account or any other security breach.
- Sellers must complete Afrimart's verification process, including identity and, where applicable, business registration checks, before listing Products.
We may suspend or decline to open an account where information provided is inaccurate, incomplete, or where verification cannot reasonably be completed.
The Platform & Our Role
Afrimart operates and facilitates a marketplace connecting independent Sellers with Buyers. Except where a Product is sold directly by Afrimart, or applicable law provides otherwise, Afrimart is not the seller of record for Products listed by third-party Sellers. Sellers are independent contractors and are solely responsible for the accuracy of their listings, the quality and lawfulness of their Products, and fulfilment of Orders.
List, describe, and fulfil Products; remain responsible for their listings.
Browse, purchase, and pay for Products through the Platform's escrow flow.
Operates the marketplace, facilitates escrow, and resolves platform-level disputes.
Third parties such as Flutterwave and Paystack process payments securely.
Listings & Products
Sellers are responsible for ensuring their listings — including descriptions, images, pricing, and specifications — are accurate, complete, and not misleading. Afrimart does not independently verify every listing, though we may review, remove, or restrict listings that appear to breach these Terms, applicable law, or our marketplace standards.
Certain categories of Products may be restricted or prohibited on the Platform, including counterfeit goods, items that infringe third-party intellectual property, illegal or unsafe products, and items that cannot lawfully be sold, exported, or imported in the relevant jurisdictions. Afrimart may remove a listing, suspend a transaction, or restrict a Seller's account where such Products are identified.
Orders, Pricing & Payment
- Placing an Order is an offer to purchase, which is accepted once payment is confirmed and the Order is processed by the Seller.
- Prices, applicable taxes, and shipping charges are displayed at checkout before you confirm your Order.
- We do not store full payment card details. Payments are processed securely by third-party providers such as Flutterwave and Paystack.
- Afrimart may cancel or decline an Order where a pricing or listing error is identified, where fraud is suspected, or where a Product becomes unavailable, and will notify you accordingly.
Escrow & Payment Protection
Buyer payments are held in escrow and released to the Seller only once the Order is confirmed as satisfactorily fulfilled, in accordance with our escrow workflow. This is designed to enhance transaction security but does not constitute a financial guarantee or insurance.
Release of funds, and any reversal or refund, generally follows the operating rules and timeframes of the applicable payment processor or escrow provider, in addition to the process described in our Return & Refund Policy.
Shipping & Delivery
Sellers are responsible for packaging and dispatching Orders within the timeframe stated on the listing, and for providing accurate tracking information where available. Delivery timeframes shown on the Platform are estimates and may be affected by courier performance, customs processing for cross-border Orders, or circumstances outside Afrimart's or the Seller's reasonable control.
For cross-border Orders, Buyers are responsible for compliance with import regulations in their destination country, including any customs duties or import taxes payable on delivery, except where the listing states otherwise.
Returns, Refunds & Disputes
Returns, replacements, and refunds are governed by our Return & Refund Policy, which forms part of these Terms. Key features include a requirement to report eligible issues within 24 hours of delivery, and a platform-level dispute process where Afrimart may review evidence and facilitate a resolution between a Buyer and Seller.
A platform-level determination under our Return & Refund Policy does not remove any statutory right or legal remedy you may separately have under applicable law.
Prohibited Conduct
When using the Platform, you agree not to:
- List, sell, or attempt to purchase counterfeit, stolen, illegal, or prohibited Products.
- Provide false, misleading, or fraudulent information in a listing, Order, or return/refund request.
- Circumvent the Platform's payment or escrow system to complete a transaction off-platform.
- Interfere with, disrupt, or attempt to gain unauthorised access to the Platform or another user's account.
- Harass, threaten, or abuse other users, including through Platform messaging or support channels.
- Engage in conduct that abuses the return/refund system, as described in our Return & Refund Policy.
Violation of this Section may result in removal of content, cancellation of a transaction, or suspension or termination of your account, in accordance with Section 15.
Seller Terms
- Sellers must complete Afrimart's verification process and keep business, identity, and payout information current.
- Sellers are responsible for complying with all laws applicable to the sale, labelling, safety, and export/import of their Products.
- Afrimart may charge Sellers a commission or service fee on completed sales, as disclosed in the applicable Seller agreement or fee schedule.
- Payouts to Sellers are processed following release of funds from escrow, subject to the payment provider's own timeframes.
- Sellers remain responsible for their own compliance with tax obligations arising from sales made through the Platform.
Product Upload Rules & Content Standards
This Section forms part of Afrimart's Seller Terms and applies to every Seller, brand, vendor, merchant, business and authorised representative who uploads, publishes, edits or maintains a product listing on the Platform. It sets the mandatory standards governing how Products are uploaded, presented, described, advertised and maintained — designed to keep the marketplace professional, trustworthy and safe, and to prevent Sellers from using Afrimart primarily as a channel to redirect buyers off-Platform.
General upload standard
Every Product uploaded must be genuine and one the Seller is legally authorised to sell, accurately represented, clearly identifiable, appropriately categorised, described in clear and truthful language, and presented professionally. Sellers must not upload false, exaggerated, deceptive, discriminatory, offensive or unlawful content, and must not deliberately omit information a reasonable buyer would need to decide whether to purchase.
Images and videos
- Images must clearly and accurately show the actual product — its colour, size, design, condition and appearance — be properly framed, and free from misleading edits.
- Sellers must not use another seller's or brand's images without lawful permission, or include excessive text, promotional graphics, or shocking or inappropriate imagery.
- Where a Product has variants, images must correspond accurately to the selected colour, size or configuration.
- Where videos are permitted, they must clearly and accurately relate to the Product, be of acceptable quality, and must not contain misleading demonstrations or be used primarily as external advertising.
No external business identifiers or contact information. Product images and videos must not contain business names, logos, social media handles, website addresses, QR codes, phone or WhatsApp numbers, email addresses, physical addresses, or any other detail reasonably capable of enabling a buyer to contact or transact with the Seller outside Afrimart. A narrow exception applies to a brand name or manufacturer's marking that is inherently and permanently part of the physical product itself and naturally visible in an authentic photograph, provided it is not enhanced for external promotion.
Titles, descriptions and accuracy
- Product titles must be accurate, concise, relevant, and free from promotional language, contact information, misleading claims or manipulative keyword stuffing.
- Descriptions must be clear and sufficiently detailed — covering, where relevant, materials, dimensions, condition, specifications, included accessories, and warranty information — and must not contain false claims, unsupported health or safety claims, fake scarcity, false discounts, competitor attacks, or off-Platform contact requests.
- Sellers are responsible for keeping listing information current, including availability, stock, price, condition and delivery details, and must not advertise a Product as available where they cannot reasonably fulfil the order.
Pricing and promotional claims
Sellers must not use fake discounts, inflated "original" prices, misleading percentage-off claims, artificial scarcity, false limited-time claims, bait-and-switch pricing, or hidden mandatory charges. Any promotional price must accurately reflect what the buyer will actually pay, subject to clearly disclosed charges.
Branding, trademarks and prohibited content
Sellers must have the legal right to sell their listed Products and to use any third-party photographs, descriptions or trademarks featured, and must not upload counterfeit or unauthorised products, impersonate another brand or business, or falsely claim affiliation or authorisation. Listings must not contain illegal, counterfeit, stolen, fraudulent, dangerous or otherwise prohibited goods, or content involving exploitation, obscenity, hate speech or material that facilitates criminal activity — this operates together with Afrimart's separate Prohibited Products Policy where one exists.
Conduct, reviews and off-platform solicitation
- Sellers must maintain professional, respectful, non-abusive conduct across all seller-facing content, free from harassment, threats, discriminatory language or defamation.
- Sellers must not manipulate reviews or ratings — including through fake accounts, fake reviews, improper incentives, or dishonest removal of negative feedback.
- Listings, messages and reviews must not be used to divert buyers to external channels to complete a transaction — for example, directing buyers to a social media DM, WhatsApp, an external website, or a lower off-Platform price to avoid marketplace charges.
AI-generated content, variants, and duplicate listings
AI or digitally assisted content may be used only where it accurately represents the actual Product, does not fabricate features or results, and does not misrepresent availability. Variant listings (colour, size, model, configuration) must correspond accurately to the image, price and stock shown to the buyer. Sellers must not upload duplicate, substantially identical, or spam listings to manipulate search results.
Afrimart's moderation and enforcement rights
Subject to applicable law, Afrimart may review listings, request additional information, reject an upload, require corrections, edit or remove non-compliant content, suspend or restrict a listing, and restrict, suspend or terminate seller privileges for serious or repeated violations. Where appropriate, Sellers will be given an opportunity to correct a non-compliant listing; however, Afrimart may act immediately without prior notice where content creates a safety risk, appears unlawful, suggests fraud or counterfeiting, or where a Seller is attempting to circumvent the Platform.
Depending on the circumstances, Afrimart may apply an advisory notice, a correction request, listing rejection or removal, temporary restriction, account suspension, permanent removal from Afrimart, or referral to appropriate authorities where legally necessary. These measures are not necessarily sequential and are applied according to the severity, frequency and nature of the violation.
Seller acknowledgement
By uploading Products to Afrimart, a Seller confirms that the information provided is truthful and accurate, that it holds the necessary rights and authority to list the Products, that its images and videos comply with Afrimart's content standards and contain no unauthorised external contact information, that it will not use the Platform to divert customers off-Platform, and that it understands non-compliance may result in listing removal or account restrictions.
This Section forms part of Afrimart's broader Seller Terms, Marketplace Policies, Prohibited Products Policy, Return & Refund Policy, and Privacy Policy. Where there is an inconsistency between this Section and any other applicable governing document, the applicable governing document prevails according to its own terms. Nothing in this Section is intended to create an obligation that conflicts with applicable consumer protection, privacy, intellectual-property or other mandatory law in any jurisdiction in which Afrimart operates.
Intellectual Property
The Afrimart name, logo, and Platform design are owned by Afrimart and protected by applicable intellectual property laws. You may not copy, modify, or use our branding without prior written consent.
Sellers retain ownership of the content they upload (such as product photographs and descriptions) but grant Afrimart a non-exclusive licence to display, reproduce, and distribute that content on the Platform and in related marketing, for as long as the listing remains active. Sellers are responsible for ensuring their listing content does not infringe the intellectual property rights of any third party.
Disclaimers & Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. While we work to keep the Platform reliable and secure, we do not guarantee that it will be uninterrupted, error-free, or free of harmful components, and we do not warrant the quality, safety, or legality of Products listed by third-party Sellers.
To the fullest extent permitted by applicable law, Afrimart's liability for any claim arising from your use of the Platform is limited to the amount you paid for the relevant Order giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
Indemnification
You agree to indemnify and hold Afrimart harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or, in the case of Sellers, your Products or listings — except to the extent such claim arises from Afrimart's own breach of these Terms or applicable law.
Termination
You may close your account at any time, subject to completing any open Orders, transactions, or disputes. We may suspend or terminate your access to the Platform where you breach these Terms, our marketplace standards, or applicable law, or where we reasonably suspect fraud, abuse, or conduct that harms other users or the integrity of the Platform.
Provisions of these Terms that by their nature should survive termination — including those relating to payment obligations, intellectual property, disclaimers, and dispute resolution — will continue to apply.
Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory consumer protection law of your own country that may also apply to your transaction. Because Afrimart serves Buyers and Sellers in multiple jurisdictions, the applicable law and forum for a given dispute may depend on the location of the parties, the nature of the issue, and applicable private international law principles.
Where a dispute between a Buyer and Seller cannot be resolved directly, either party may escalate it to Afrimart for a platform-level review under our Return & Refund Policy. This does not remove any right either party holds to pursue a claim through a court, regulator, or other competent forum.
Changes to These Terms
We may update these Terms periodically to reflect changes in our practices, the Platform's functionality, or applicable law. The "Effective Date" at the top will be revised accordingly, and we will use reasonable efforts to notify you of material changes through the Platform, by email, or an equivalent notice mechanism.
Continued use of the Platform after any changes take effect constitutes your acceptance of the revised Terms.
